1. THE PROGRAMME

    1. The HudsonMAX Programme (the "Programme") is a privilege programme operated by Hudson Malta Sales Ltd, a limited liability company having registration number C 32438 and its registered address at Hudson House, Burmarrad Road, Burmarrad, San Pawl il-Bahar SPB 9060, Malta ("Hudson"), which company forms part of the Hudson Group.

    2. As a member, you will earn points when making qualifying purchases at participating Hudson Group stores, franchises, or partner outlets ("Participating Outlets") when showing your proof of membership at the time of purchase via the Hudson Membership Card or the mobile application. Hudson may also partner with one or more providers of goods or services and allow them to participate in the Programme from time to time, which may include and is not limited to financial and banking institutions, hotels, leisure, and lifestyle services for providing goods and/or services to the members of the Programme (hereinafter referred to as "Programme Partners").

    3. These terms and conditions (the "T&Cs") apply to and govern the Programme. Please ensure that you have read these T&Cs prior to registering as a member and participating in the Programme. By registering as a member and participating in the Programme, you agree that you have accepted these T&Cs.

    4. Hudson reserves the right to modify, cancel or withdraw these T&Cs or any provision thereof at any point in time, at Hudson's sole discretion. Any such modification, cancellation or withdrawal shall be notified on Hudson's website www.hudsonmax.net (the "Website") at least thirty (30) days prior to them taking effect. By continuing to use your membership after the date of any such modification, cancellation or withdrawal taking effect, you agree that you have accepted the T&Cs as amended.

  2. MEMBERSHIP

    1. You may become a member of the Programme by:

      1. downloading the Hudson MAX mobile application (the "App") and signing up for membership through the App; or

      2. signing up for the Hudson Membership Card at one of the Participating Outlets.

    2. The Hudson Membership Card and the App shall remain the property of the Hudson Group at all times and you will only be the custodian of the same.

    3. You are solely responsible to ensure that your Hudson Membership Card and your App credentials are kept in a safe and secure location at all times. Hudson shall not be in any way responsible, in any circumstance, for the loss of your Hudson Membership Card or the loss or hacking of your App credentials. In the event of any loss of your Hudson Membership Card or loss or hacking of your App credentials, you must notify Hudson immediately via email at [email protected] . Your membership shall be suspended within 48 hours of such notification, in order to prevent any fraudulent use thereof. A new membership will then be issued to you by Hudson.

    4. You may only become a member of the Programme if you have attained the age of 16 years as of the day when you sign up for membership. Age is self-certified. If you provide false information, your membership in the Programme may be terminated by Hudson with immediate effect.

    5. Membership in the Programme is free. The membership is a personal membership and not a corporate membership.

    6. Membership and points are non-transferable and can only be used by you, as the authorised member of the Programme.

    7. The Hudson Membership Card requires the cardholder's signature.

    8. Membership in the Programme is provided by Hudson's management at its sole discretion and final decisions on all matters relating to the Programme and membership therein shall rest solely with Hudson.

    9. A member may only hold one valid membership in the Programme at any given time. You may not sign up for a membership both through the App and through the Hudson Membership Card concurrently. If you attempt to sign up for more than one membership in the Programme at any given time, Hudson may cancel any and all memberships you hold, in which case you will not be able to redeem any points or coupons accrued under such memberships.

    10. Hudson reserves the right to cancel your membership in the Programme in the event that 18 months have passed since the last transaction recorded under the membership.

    11. You may cancel your membership at any time directly on the App or by giving Hudson written notice at [email protected] .

    12. If benefits, facilities or arrangements are provided or made available to you as a result of your membership, whether these are provided by Hudson or by Programme Partners, you will be personally liable for any and all costs, taxes, surcharges, fees, charges, claims or liabilities of whatever nature arising from the provision or availability of such benefits, facilities or arrangements.

    13. When you seek to use or obtain any of the services, benefits, facilities or arrangements offered by Hudson's Programme Partners, the provision of such services, benefits, facilities or arrangements will be subject to the respective terms and conditions of the Programme Partner providing them.

  3. EARNING

    1. You may only earn points at the Participating Outlets and through Programme Partners upon presentation of your Hudson Membership Card or App at the time of purchase. No retrospective claims for the transactions made in the past will be entertained.

    2. All points earned under the Programme are valid for 12 months.

    3. The points balance under your membership cannot be pooled with the points balance of any other membership at any point in time.

    4. Hudson reserves the right to add or remove any of the Participating Outlets or Programme Partners at any time. Hudson will endeavour to advise you of such changes in advance. The current Participating Outlets are those listed on https://hudson.com.mt/hudson-stores-in-malta/ , excluding the Alcott and KIABI outlets.

  4. REDEMPTION

    1. Members cannot redeem points, but can redeem coupons earned through points. A €50 coupon is generated once your account reaches 20 points.

    2. You may monitor your active points and coupons through the App .

    3. In order to redeem your coupons, you must present your Hudson Membership Card or App, as the case may be, as well as a valid photo identity document for verification purposes. The name on this identity document must match the name reflected on Hudson's point-of-sale (POS) system.

    4. The Hudson Membership Card and the App may only be used, and therefore points and coupons may only be redeemed, in the country of issuance.

    5. Points and coupons cannot be exchanged for cash.

    6. Coupons can not be used to purchase any other voucher.

    7. Once coupons are redeemed, they cannot be used again.

    8. Coupons may be used on sale items.

    9. Only one coupon may be redeemed per transaction.

    10. If the value of the purchase is higher than the value of the coupon, the balance amount must be paid by the member using a valid payment method.

    11. Points remain active in the member's account for 12 months from the time they were earned. Points cannot be re-credited to the member's account if they have expired.

  5. TERMINATION OF MEMBERSHIP

    1. Hudson reserves the right to cancel or withdraw your membership, refuse to award points, withdraw points, or refuse the right to redeem points or coupons, with or without notice, for any period of time as Hudson may deem fit, at its sole discretion, in the event that you:

      1. breach any provision, or part thereof, of these T&Cs;

      2. fail to pay for any purchase made at the Participating Outlets; or

      3. are involved in any act of fraud, shoplifting, or cheating or misusing the Hudson Membership Card or the App.

    2. In the event that your membership is cancelled or withdrawn by Hudson in terms of section 6.1 above, any existing points and coupons on your account will be lost and you will not be able to redeem them.

  6. EXCLUSION OF WARRANTIES

    1. You hereby acknowledge and accept that the App and the Hudson Membership Card are provided "as is" and Hudson excludes any express or implied warranties, including but not limited to any implied warranties of merchantability and fitness for a particular purpose.

    2. In particular, Hudson does not warrant that the use of the App and the Hudson Membership Card will be uninterrupted or free of bugs, errors or defects.

  7. LIABILITY

    1. Subject to section 7.2 below, in no event shall Hudson be liable for any damages (including direct, indirect, special, punitive, incidental, consequential or similar damages), costs, expenses or other liabilities with respect to any claims based on contract, tort or otherwise (including negligence) arising out of or in connection with these T&Cs, the App, the Hudson Membership Card, or the Programme.

    2. Nothing in these T&Cs shall be deemed to exclude or limit Hudson's liability for:

      1. Death or personal injury;

      2. Fraud;

      3. Wilful misconduct; or

      4. Gross negligence.

  8. DATA PROTECTION

    1. If you are a member of this Programme, Hudson will process your personal data as a data controller on the basis of Hudson's legitimate interests. An explanation of these legitimate interests and of the way that Hudson processes your personal data is set out in Hudson's privacy notice, which is available here https://hudsonmax.net/privacy.html or upon request. By signing up to the Programme, you acknowledge and accept that you have been provided with, read and understood the privacy notice.

    2. It is your responsibility to ensure that any personal data that you provide to Hudson in order to participate in the Programme is accurate and up to date.

  9. INTELLECTUAL PROPERTY

    1. You acknowledge that any and all intellectual property created or developed by Hudson in relation to the App, the Hudson Membership Card, the Programme, and Hudson's products and services, whether registered or unregistered, including but not limited to trademarks and copyright, (the "Hudson IP") shall belong to Hudson and you agree not to contest such ownership or the validity thereof.

    2. Nothing in these T&Cs shall be deemed to confer upon you any rights in or with respect to the Hudson IP.

    3. The obligations under this section 9 shall continue to apply after termination of your membership in the Programme.

  10. GOVERNING LAW AND JURISDICTION

    1. These T&Cs are governed by the Laws of Malta. You irrevocably agree that the Courts of Malta shall have exclusive jurisdiction to settle any disputes which arise in relation to these T&Cs.
